Terms & Conditions
The terms governing our consultancy services, bookings, payments, client responsibilities and service arrangements.
1. Acceptance of Terms
By submitting a booking request, accepting a quotation, confirming a consultancy project or instructing us to begin work, you agree to these Terms & Conditions to the extent that they apply to the relevant service.
If you are making a booking on behalf of a company, partnership or other organisation, you confirm that you have authority to act on its behalf and accept these terms for that organisation.
If you do not agree with these terms, please do not proceed with a booking or instruct us to begin work.
Where a separate written proposal or service agreement has been accepted, it should be read together with these terms. If a specific provision in that agreement conflicts with these general terms, the specific written provision will take priority for the relevant service, subject to applicable law.
2. Definitions
For the purposes of these terms:
- “We”, “Us” or “Our” means MAYFIELD EDINBURGH HOLDINGS LIMITED, trading as Mayfield Business Advisory.
- “Client”, “You” or “Your” means the individual, business or organisation requesting or receiving our services.
- “Services” means the business operations consultancy work agreed between us and the client.
- “Consultation” means an arranged discussion or advisory session relating to the client’s business requirements.
- “Proposal” means a written description of the proposed services, scope, fees and other agreed arrangements.
- “Deliverables” means reports, documents, templates, recommendations or other materials prepared for the client.
- “Working Day” means a day other than a Saturday, Sunday or public holiday in England.
3. Our Services
Mayfield Business Advisory provides business operations consultancy services to small retail and wholesale businesses across the United Kingdom.
Depending on the agreed scope, our services may include:
- Reviewing order processing procedures and identifying operational gaps.
- Assessing inventory management systems and stock control practices.
- Reviewing customer service workflows and communication procedures.
- Examining routine administrative processes and internal working practices.
- Identifying areas where procedures may be clarified or made more consistent.
- Preparing practical recommendations and improvement plans.
- Providing relevant operational templates, written guidance and supporting documents.
The exact services supplied will depend on the proposal, booking confirmation or other written agreement. We are not required to provide work that has not been included in the agreed scope.
4. Website Information
We aim to keep the information on our website accurate, useful and up to date. However, website content is provided for general information and does not automatically form a complete description of a particular consultancy engagement.
Service descriptions, starting prices and examples are intended to help clients understand the type of support available. They do not constitute a binding quotation unless we expressly confirm the relevant scope and price in writing.
We may update website content, service descriptions or availability from time to time. Such updates will not change a confirmed booking or accepted proposal without an agreed variation or another lawful basis.
5. Booking and Confirmation
Clients may contact us through the website or by using the contact details provided on our website to discuss their requirements and request a consultation.
Consultation requests should normally be submitted at least 24 hours before the requested appointment. Same-day consultations are not available through our standard booking arrangements.
Submitting an enquiry or booking request does not mean that an appointment has been confirmed. We may need to review the client’s requirements, check availability and clarify the proposed service before accepting a booking.
A booking is confirmed when we send written confirmation identifying the agreed appointment or service arrangement.
We may decline a request where the proposed work falls outside our service scope, the requested arrangements are not available or we cannot reasonably provide the service.
6. Formation of Contract
A contract for consultancy services is formed when we have accepted the relevant booking or proposal in writing and the client has agreed to the applicable scope and commercial terms.
Depending on the service, written confirmation may be provided by email, an accepted proposal or another written communication that clearly records the agreed arrangements.
Any conditions relating to the start of work, advance payment, access to information or delivery dates will be explained in the relevant confirmation or proposal.
We are not required to begin work until the agreed start conditions have been satisfied.
7. Fees and Quotations
Prices displayed on our website are starting prices for the relevant service category. They are not necessarily the final price for every consultancy engagement.
The final fee may depend on factors including:
- The size and complexity of the business operation being reviewed.
- The number of processes, departments or workflows involved.
- The volume and condition of documents or information to be reviewed.
- The amount of research, analysis and preparation required.
- The number of consultations or follow-up sessions requested.
- The format, level of detail and number of deliverables required.
- Any additional work requested outside the original scope.
Where necessary, we will provide a written quotation or proposal before the work begins. The proposal will identify the agreed fee, scope and any relevant payment arrangements.
Unless expressly stated otherwise, quotations are based on the information available when they are prepared. If the requirements change materially, we may need to review the quotation and obtain your agreement to any revised fee before carrying out additional work.
Any applicable taxes or additional charges will be identified where required before the client commits to the service.
8. Payment Terms
Payment arrangements will be confirmed after we have reviewed the client’s requirements and agreed the service scope.
Depending on the nature and size of the engagement, payment may be requested in advance, by agreed stages or following completion of specified work.
The applicable payment schedule, due dates and accepted payment method will be provided in the written quotation, invoice or booking confirmation.
Accepted Payment Arrangements
Payment instructions will be supplied through an appropriate official communication channel after the relevant service arrangements have been confirmed. Available methods may include bank transfer or another payment method expressly agreed with the client.
Clients should only make payments using payment details supplied through our confirmed business communication channels. If you receive unexpected or changed payment instructions, please contact us using the contact details published on our website before transferring funds.
Invoices and Payment Due Dates
Unless a different period is agreed in writing, invoices are payable within 7 calendar days of the invoice date. Where a booking requires advance payment, the payment deadline will be stated in the relevant confirmation.
We may delay the start of work or pause further work where an agreed payment has not been received by its due date. We will contact the client before taking action where reasonably practicable.
Late Payments
Where a business client fails to pay an undisputed invoice by the due date, we may exercise any rights available under the Late Payment of Commercial Debts (Interest) Act 1998, where applicable.
Any interest, compensation or recovery costs will only be claimed where legally permitted and applicable to the relevant contract.
9. Client Responsibilities
To help us provide the agreed services effectively, clients are expected to:
- Provide accurate, complete and reasonably current information relevant to the consultancy work.
- Explain their business requirements, objectives and operational concerns clearly.
- Supply requested documents, process descriptions and other agreed materials within a reasonable timeframe.
- Ensure that they are authorised to share any business information or documents provided to us.
- Identify any confidential, commercially sensitive or restricted information before sharing it.
- Respond to reasonable questions and requests for clarification.
- Review proposals and deliverables within the agreed review period.
- Make their own business decisions after considering the recommendations provided.
- Ensure that any instructions given on behalf of an organisation are properly authorised.
If information is inaccurate, incomplete or supplied late, this may affect the scope, timing or reliability of the work.
We may ask for clarification, revise an estimated delivery date or pause the affected work where essential information is missing. Any material change to the scope or fee will be discussed with the client before additional work is undertaken.
10. Service Delivery
We will provide the services described in the accepted proposal or written booking confirmation with reasonable care and skill.
Delivery arrangements will depend on the nature of the engagement. A service may involve a scheduled consultation, document review, operational assessment, written recommendations or a combination of these.
Any delivery date or project timetable supplied by us will be based on the information and cooperation reasonably expected from the client.
If circumstances arise that may affect the agreed timetable, we will notify the client and discuss a reasonable revised arrangement.
We will not materially expand the scope of an engagement or charge for additional work without first obtaining the client’s agreement, except where a different arrangement is lawfully agreed.
11. Reports and Digital Materials
Depending on the agreed service, deliverables may include:
- PDF business operations review reports.
- Written findings and practical improvement recommendations.
- Spreadsheet-based inventory or process templates.
- Customer service workflow guidance.
- Administrative procedure documents.
- Operational action plans and implementation checklists.
Deliverables will normally be supplied electronically using the agreed communication or file-sharing method.
Unless otherwise stated in the proposal, clients should review delivered materials within 7 calendar days and notify us in writing of any material issue or omission against the agreed scope.
We will review reasonable requests for correction where a deliverable does not correspond to the agreed description. This review period does not remove any statutory rights or prevent a client from raising a matter that could not reasonably have been identified earlier.
The client is responsible for keeping copies of the materials supplied and ensuring that the files can be accessed using suitable software.
12. Changes to Services
A client may request changes to the agreed service scope, deliverables, consultation arrangements or project timetable.
We will consider the request and explain whether it can be accommodated. A change may affect the fee, delivery date or resources required.
No additional charge will be applied for a material scope change unless the revised work and any associated fee have been agreed in writing.
If the parties cannot agree on a proposed change, the original scope will normally remain in place unless both parties agree to end or amend the engagement.
13. Cancellation, Rescheduling and Refunds
Cancellation and refund arrangements are governed by our separate Cancellation & Refund Policy, which should be read together with these terms.
Clients should submit cancellation or rescheduling requests in writing to consult@mayfieldbusinessadvisory.net .
Consultation requests should normally be made at least 24 hours in advance. Same-day bookings are not available under our standard arrangements.
Where possible, clients should request a change at least 24 hours before the scheduled appointment. Requests received later will be considered according to availability, work already completed and the applicable cancellation terms.
Refunds, where due, will be assessed according to the service supplied, work completed, applicable agreement and statutory rights.
Where an applicable statutory cancellation right exists, it will take priority over any inconsistent provision in these terms.
The full arrangements are available in our Cancellation & Refund Policy .
14. Intellectual Property
Unless otherwise agreed in writing, intellectual property rights in our pre-existing materials, working methods, frameworks, templates, general know-how and internal resources remain with us or their respective rights holders.
Once the client has paid all applicable fees, the client may use the final deliverables prepared specifically for that engagement for its own internal business purposes.
Unless expressly agreed in writing, the client must not:
- Resell or commercially distribute our reports, templates or materials as standalone products.
- Publish or reproduce our materials for commercial distribution to third parties.
- Remove ownership notices or attribution where these are included.
- Claim ownership of our pre-existing methods, frameworks or proprietary materials.
- Use our materials in a way that infringes third-party intellectual property rights.
The client retains ownership of its own business information, documents and materials supplied to us. The client grants us permission to use those materials only as reasonably necessary to provide the agreed services.
15. Confidentiality
We understand that consultancy work may involve commercially sensitive information, internal procedures, supplier details, customer service records and other confidential business materials.
We will take reasonable steps to protect confidential information received from clients and use it only for purposes connected with the agreed services, administration of the engagement or another lawful purpose.
Confidential information may be disclosed where:
- The client has authorised the disclosure.
- Disclosure is necessary to an appropriate professional adviser or service provider who is subject to suitable confidentiality obligations.
- Disclosure is required by law, regulation, court order or a competent authority.
- The information is already publicly available through no breach of these terms.
- The information was lawfully known to us before it was supplied by the client.
We will not use a client’s confidential business information for unrelated commercial purposes.
16. Data Protection and Privacy
We process personal information in accordance with applicable UK data protection legislation and our Privacy Policy.
Personal information may be used to respond to enquiries, arrange consultations, administer bookings, provide consultancy services, manage payments and maintain relevant business records.
Clients should avoid sending unnecessary personal information when providing business documents. Where information about employees, customers or other individuals is required, clients are responsible for ensuring that they have an appropriate lawful basis to share it.
Further information about the information we collect, how it is used and the rights available to individuals is provided in our Privacy Policy .
17. Third-Party Services and External Links
Our website or consultancy work may refer to third-party websites, software, platforms or service providers where relevant to the client’s operational requirements.
Third-party services are generally governed by their own terms, privacy policies and service arrangements.
Unless expressly agreed in writing, we do not operate or control third-party systems and are not responsible for their independent availability, content, security practices or commercial terms.
Any recommendation to consider a third-party tool or provider is not a guarantee of its suitability. Clients should assess relevant features, costs, contractual requirements and data protection arrangements before adopting an external service.
18. Professional Disclaimer
Our services provide operational observations, practical recommendations and business process guidance based on the information and instructions made available to us.
We aim to provide clear and commercially useful advice, but our recommendations are not a guarantee that a particular operational or financial result will be achieved.
Actual outcomes may depend on factors outside our control, including the client’s management decisions, staff availability, supplier performance, market conditions, customer behaviour and implementation choices.
Unless expressly included in a separate written agreement, our services do not constitute:
- Legal advice or legal representation.
- Tax advice, tax planning or accounting services.
- Investment, financial or lending advice.
- A statutory audit or independent financial verification.
- Regulatory certification or formal compliance approval.
- Technical certification or specialist professional services outside the agreed consultancy scope.
Clients should obtain advice from appropriately qualified professionals where their circumstances require legal, accounting, tax, financial or regulated specialist guidance.
Unless expressly agreed, we do not independently audit, certify or verify all information supplied by the client. Our observations are based on the materials and access made available during the engagement.
19. Limitation of Liability
We will perform our agreed services with reasonable care and skill. Nothing in these terms is intended to remove responsibility for a failure to meet that standard.
To the extent permitted by law, we are not responsible for losses arising solely from:
- Inaccurate, incomplete or misleading information supplied by the client or another source.
- Decisions made by the client independently of our agreed recommendations.
- Failure to implement recommendations or follow agreed operational procedures.
- Changes in market conditions, supplier arrangements or customer behaviour.
- Interruptions or failures of third-party systems outside our reasonable control.
- Work or services that were not included in the agreed scope.
Subject to applicable law, we will not be liable for indirect or consequential loss that was not reasonably foreseeable when the relevant contract was made.
Where legally permitted, our total liability arising from a particular consultancy engagement will not exceed the total fees paid or payable for that engagement. This limitation does not apply where liability cannot lawfully be limited.
20. Events Beyond Our Reasonable Control
Neither party will be treated as being in breach of these terms solely because an obligation is delayed or prevented by an event beyond that party’s reasonable control.
Such events may include severe weather, public emergencies, widespread power or internet outages, serious technical disruption, transport interruption or other unexpected circumstances.
The affected party should notify the other party as soon as reasonably practicable and take reasonable steps to reduce the effect of the disruption.
If the disruption continues and materially affects the agreed service, both parties may discuss revised arrangements or cancellation of the affected part of the engagement.
Any payment or refund relating to work not supplied will be assessed in accordance with the agreed service terms and applicable law.
21. Complaints and Dispute Resolution
If you are dissatisfied with any aspect of our service, please contact us in writing and explain the issue clearly.
To help us investigate, please include:
- Your name and relevant business details.
- The booking reference, invoice number or project description.
- A description of the issue and when it occurred.
- Any relevant correspondence or supporting documents.
- The outcome you would like us to consider.
We aim to acknowledge complaints within 5 business days and provide a substantive response within 14 calendar days after receiving the information reasonably required.
If further investigation is necessary, we will explain the reason and provide an updated response timeframe.
We will review complaints fairly and consider reasonable steps to resolve the issue. This may include clarification, correction of an agreed deliverable, further discussion or another appropriate remedy.
22. Changes to These Terms
We may update these terms from time to time to reflect changes in our services, business arrangements or applicable legal requirements.
The current version will be made available on our website.
Changes will normally apply to new bookings and services agreed after the updated terms are published.
For an existing confirmed engagement, a material change will not automatically alter the agreed contractual arrangements. Where a change needs to apply to an existing engagement, we will seek agreement where required.
23. Governing Law and Jurisdiction
These terms and any non-contractual obligations arising in connection with them are governed by the laws of England and Wales.
Subject to any mandatory consumer jurisdiction rights, the courts of England and Wales will have jurisdiction over disputes arising from these terms or the relevant consultancy services.
If any provision of these terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure or delay by either party to exercise a right under these terms does not automatically mean that the right has been waived.
